# Employment Pack Review

> Batch-review offer letters, IP assignments, non-competes, and severance packs with state-by-state enforceability checks

**Best for:** batch review of offer letters, IP assignments, non-competes, and severance packs, with state-by-state non-compete enforceability checks.

Surfaces missing IP assignments, outlier vesting, unenforceable non-competes, and severance gaps across a single hire's pack or a whole quarter of them.

| **Employment documents** | Yes | 1-500 | Offer letters, IP assignment and non-compete agreements, ESOP grant letters, severance and separation agreements. One hire's pack or many. |

## Inputs

| Field | Type | Required | What it changes |
| ------------------------ | ------------ | -------- | ------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------- |
| Matter name | Text | No | Report titles and audit trail. Useful when reviewing several hire packs in a quarter. |
| **State of employment** | Select | **Yes** | 15 named states plus DC and "other US state". **Drives roughly 80% of the analysis.** California, North Dakota, Oklahoma, and Minnesota void non-competes entirely; Colorado, Illinois, Maryland, Massachusetts, Oregon, Virginia, Washington, and DC have income-threshold gates. California Labor Code § 2870 forces invention-assignment carve-outs. |
| **Pack context** | Select | **Yes** | New hire onboarding · promotion/role change · separation/severance · post-hire amendment. A separation pack triggers ADEA 21/45-day review windows and OWBPA disclosures, which is a completely different criteria set from onboarding. |
| **Role seniority** | Select | **Yes** | Executive, senior IC/staff, mid-level IC, junior, hourly/non-exempt. Executive packs warrant § 280G golden-parachute, 409A, and clawback scrutiny. Hourly triggers FLSA review. |
| FLSA classification | Select | No | Exempt · non-exempt · unknown/mixed. Misclassification suits now exceed Title VII in volume. |
| Industry | Select | No | Tech/SaaS, healthcare, financial services (FINRA), defense/government contractor, manufacturing, retail, other. Adds clearance, HIPAA, FINRA Form U4, and Service Contract Act carve-outs. |
| Annual compensation band | Select | No | Under $75K through over $500K. Needed to test non-compete enforceability against state income thresholds: Washington $123K, Illinois $75K, Colorado \$123K, and so on. |
| Focus the review on | Multi-select | No | IP/invention assignment scope, non-compete, customer non-solicit, employee non-solicit, arbitration and class-action waiver, severance and release terms, equity vesting, garden leave, trade-secret definition. Leave blank to review everything. |

## How it runs

A matrix-review pipeline: `prepare → extract → wait for extraction → normalize and score → synthesize → render`.

The state of employment and the pack context determine the column set, so a California separation pack and a Texas onboarding pack are scored against genuinely different rules rather than one generic checklist.

## What you get

| Artifact | Format | Contents |
| ----------------------- | ------ | --------------------------------------------------------------- |
| **Executive Summary** | DOCX | Pack-level findings with the enforceability calls and the gaps. |
| **Per-Document Detail** | DOCX | One section per document with its flagged terms. |

## What this will not do

* Replace employment counsel review for the final redline decision before extending the offer.
* Run a real FLSA exempt versus non-exempt audit based on actual day-to-day duties.
* Negotiate with the candidate or finalize comp bands on your behalf.
* Investigate facts outside the uploaded pack, such as a prior employer's non-compete obligations or trade-secret risk.
* Confirm 409A valuation, ISO versus NQSO tax treatment, or state-specific wage-payment timing rules.
